confirm that you have read, understood, and agree to be bound
by these Terms & Conditions.

XINGYE TEXTILE is a China-based fabric and textile manufacturer
offering wholesale fabrics and custom garment solutions for
global buyers. We supply polyester, TR, TC, microfiber, linen,
nylon, modal, rayon, and functional fabrics direct from our
manufacturing facility in Shijiazhuang, China.

## 2. Scope of These Terms

These Terms & Conditions apply to:

- All visitors to this Website
- All buyers, sourcing agents, garment manufacturers,
trading companies, and procurement professionals who
submit inquiries, request samples, or place orders
through this Website or via direct communication
with our sales team

This Website is intended for business-to-business (B2B)
use only. We do not sell directly to end consumers or
retail buyers.

## 3. Product Information & Accuracy

We make every effort to ensure that product descriptions,
fabric specifications, GSM, composition, width, color,
and images on this Website are accurate and up to date.

However:

- Product images are for reference only. Actual colors
may vary due to monitor calibration, photography
lighting, and dye lot differences between production
batches.
- Fabric specifications (GSM, width, shrinkage, color
fastness, tensile strength) are provided as typical
values based on standard production runs. Variations
within the following industry-accepted tolerances are
not considered defects:
· GSM: ±5%
· Width: ±2%
· Color shade: minor variation between dye lots
· Shrinkage: per stated standard (e.g. ISO 6330)
- Fabric constructions, finishes, and available colors
are subject to change without prior notice as we
continuously update our product range.

We strongly recommend requesting a physical fabric sample
before committing to a bulk order. Sample approval
confirms acceptance of the specifications for production.

## 4. Quotations & Pricing

All prices displayed on this Website, if any, are
indicative only and subject to change without notice.

Formal pricing is issued by quotation only, based on:

- Fabric type, fiber composition, construction,
and surface finish
- Order quantity in meters or kilograms
- Color (stock color vs. custom dyeing)
- Shipping terms (FOB, CIF, DDP, EXW, etc.)
- Destination port and country
- Raw material and currency exchange rates at
time of order placement

Quotations are valid for 30 days from the date of
issue unless otherwise stated. A quotation is not
a binding contract until confirmed by both parties
in writing.

## 5. Samples

We provide fabric samples to support buyer evaluation
prior to bulk orders.

- Standard stock samples: provided free of charge;
international courier costs may apply
- Custom samples (specific GSM, composition, color,
width, or finish developed to buyer requirements):
a sample development fee may apply, which is
typically credited against the confirmed bulk order
- Custom sample lead time: 7–15 business days
depending on complexity
- Buyer approval of a sample — whether by written
confirmation, purchase order placement, or
commencement of bulk production — constitutes
acceptance of the sample specifications as the
production standard

We retain approved samples for reference throughout
the production and QC process.

## 6. Orders & Payment

All orders must be confirmed in writing via email
or signed purchase order. Verbal or informal
agreements (e.g. WhatsApp messages without formal
PO) do not constitute a binding order.

**Payment Terms**

Standard payment terms for new buyers:

- 30% deposit upon order confirmation
- 70% balance before shipment, against copy of
bill of lading

Adjusted payment terms may be offered to
established buyers with a documented order history,
subject to prior written agreement.

**Accepted Payment Methods**

- Bank wire transfer (T/T) — preferred method
- Letter of Credit (L/C) — available for orders
meeting minimum value thresholds, subject to
prior approval
- Western Union or PayPal — available for
sample fees only
- Other methods by prior written agreement

Production does not commence until the deposit
payment is received and confirmed.

## 7. Production & Lead Times

Estimated lead times from deposit receipt:

- In-stock fabrics: 3–7 business days for
quality check and packing
- Standard custom fabric (custom color,
finish, or width): 20–30 business days
- Complex custom fabric development (new
composition, new construction):
30–45 business days
- Custom garment manufacturing (OEM/ODM):
30–60 business days depending on quantity
and garment complexity

All lead times are estimates. We will notify
you promptly if production is delayed due to
raw material availability, equipment maintenance,
public holidays (including Chinese New Year),
or other factors.

## 8. Shipping & Delivery

We ship to destinations worldwide via sea freight
(FCL and LCL) and air freight.

- Shipping terms (FOB Qingdao / Tianjin / Shanghai,
CIF, DDP, EXW) are agreed per order and stated
in the proforma invoice and commercial invoice
- Under FOB terms, risk of loss or damage passes
to the buyer upon handover to the nominated
carrier at the agreed port
- Full export documentation is provided with
every shipment, including: commercial invoice,
packing list, bill of lading or airway bill,
and certificate of origin
- GOTS, GRS, or OEKO-TEX transaction certificates
are available for certified product lines on request
- Import duties, VAT, customs clearance fees, and
local taxes at the destination country are the
buyer's sole responsibility unless DDP terms
have been explicitly agreed in writing

We are not responsible for shipping delays caused
by carriers, port congestion, customs holds,
or events beyond our reasonable control.

## 9. Quality Control

All fabric orders are subject to our internal
quality control process before shipment:

- Greige fabric inspection at weaving stage
- Semi-finished fabric inspection during dyeing
and finishing
- Final AQL inspection before packing, covering
fabric weight, width, color, surface defects,
and hand feel
- Random roll-by-roll meter verification

Buyers may arrange independent third-party
inspection at our facility prior to shipment.
All inspection costs are borne by the buyer.
We will cooperate fully with authorized
inspection agencies.

Certifications held: GOTS, GRS, OEKO-TEX
Standard 100, EUIPO Registered Trademark.
Certification scope varies by product line
and is confirmed per order.

## 10. Claims & Defects

Written claims for fabric quality, quantity
shortfall, or specification deviation must
be submitted to admin@xingyefabric.com within
14 days of the confirmed delivery date.

All claims must include:

- Order number and invoice reference
- Roll numbers or batch identification
- Clear written description of the issue
- Photographic or video evidence
- Independent accredited laboratory test
report where a technical specification
dispute is involved

We will not accept claims for:

- Variations within the industry tolerances
stated in Section 3 of these Terms
- Color or shade differences between the
buyer's monitor display and physical fabric
- Damage caused by the buyer's own storage,
handling, cutting, or processing after
receipt of goods
- Issues arising from fabric being processed
outside the recommended care or production
parameters provided with the order

Accepted claims will be resolved by one of
the following, at our discretion: replacement
fabric, partial shipment credit, or refund
of the affected portion of the order value.
We do not compensate for consequential losses
such as garment production costs, lost orders,
or customer penalties unless agreed in writing
prior to order placement.

## 11. Returns Policy

As a manufacturer of wholesale and custom-produced
fabric, we operate the following returns policy:

- **Custom-dyed or custom-developed fabric**:
no returns accepted once production has
commenced, as goods are produced specifically
to buyer requirements
- **Stock fabric**: returns may be considered
within 30 days of delivery if the fabric is
in original, uncut, undamaged condition.
Return must be agreed in writing before
goods are sent back. Return shipping costs
are borne by the buyer. A restocking fee
of up to 15% may apply.
- **Unauthorized returns**: goods returned
without prior written agreement will not
be accepted and will be held at the buyer's
cost and risk

## 12. Intellectual Property

All content on this Website — including but not
limited to text, product descriptions, fabric
images, technical data sheets, logos, and
page design — is the property of XINGYE TEXTILE
or its licensors and is protected under applicable
copyright and trademark law.

You may not copy, reproduce, republish, distribute,
or commercially exploit any content from this
Website without our prior written consent.

XINGYE TEXTILE® is a registered trademark
(EUIPO Registration). Unauthorized use of our
brand name, logo, or trademark in any form
is strictly prohibited.

**OEM Buyer Responsibility**
If you provide us with designs, artwork, brand
logos, fabric constructions, or technical
specifications for custom production, you
warrant that:

- You own or are licensed to use all such
materials
- The production of such materials will not
infringe any third-party patent, trademark,
copyright, or other intellectual property right
- You will indemnify XINGYE TEXTILE against
any costs, losses, or claims arising from
any such infringement

## 13. Confidentiality

Both parties agree to treat as confidential
all non-public information exchanged in
connection with orders and business discussions,
including pricing, product specifications,
production processes, and buyer identity.

We will not disclose your business information
to third parties without your consent, except
where required by applicable law or regulation.

Upon request, we are willing to sign a mutual
Non-Disclosure Agreement (NDA) prior to sharing
detailed technical or commercial information.

## 14. Limitation of Liability

To the fullest extent permitted by law:

- Our total liability arising from any single
order shall not exceed the total value paid
by the buyer for that order
- We are not liable for any indirect,
consequential, special, or punitive losses,
including but not limited to: loss of profit,
loss of production, loss of contracts,
garment rework costs, or third-party penalties
- We are not liable for losses arising from
reliance on Website content in place of
a formal written quotation or sample approval

Nothing in these Terms excludes liability
for fraud, wilful misconduct, or any liability
that cannot be excluded by law.

## 15. Force Majeure

Neither party shall be held liable for failure
or delay in performing its obligations under
an order where such failure results from
circumstances beyond its reasonable control,
including but not limited to: acts of God,
natural disasters, war, civil unrest, pandemic,
government restrictions, power outages,
raw material supply disruptions, port closures,
or carrier strikes.

The affected party must notify the other
in writing as soon as reasonably practicable.
Both parties agree to cooperate in good faith
to minimize the impact and resume performance
as soon as circumstances allow.

If a force majeure event continues for more
than 60 days, either party may terminate
the affected order by written notice, with
payment for work completed to date.

## 16. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the
laws of the People's Republic of China.

In the event of any dispute arising from or
in connection with these Terms or any order
placed under them, the parties shall first
attempt to resolve the matter through good-faith
negotiation within 30 days of written notice
of the dispute.

If negotiation does not resolve the dispute,
it shall be submitted to the China International
Economic and Trade Arbitration Commission
(CIETAC) for final and binding arbitration.
The place of arbitration shall be Beijing,
China. The language of arbitration shall
be English. The arbitral award shall be
final and binding on both parties.

written quotation, proforma invoice, or
purchase order confirmed between the parties,
constitute the entire agreement between
XINGYE TEXTILE and the buyer with respect
to the subject matter hereof, and supersede
all prior discussions, representations,
or agreements.
